Terms & Conditions (General)

These Terms & Conditions (“Terms”) govern your access to and use of the Site, our catalogs, and any orders you place with us (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.


1) Eligibility & Account
  • You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Services.

  • Certain features may require creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2) Product Information
  • We make reasonable efforts to display accurate product information (specs, compatibility, certifications, pricing, availability).

  • Specs, dimensions, and compatibility notes are provided for reference only and may change without notice. Verify suitability with your technician or engineer before purchase or installation.

  • Images are illustrative and may differ from the delivered item due to revisions or improvements.

3) Pricing, Quotes & Taxes
  • Prices are shown in U.S. Dollars unless stated otherwise and are subject to change without notice.

  • Quotes are valid only for the period stated on the quote.

  • You are responsible for all applicable taxes, duties, and fees, unless we explicitly state otherwise on the invoice.

4) Orders & Acceptance
  • Your order is an offer to buy. We may accept or reject any order at our discretion (for example, due to stock issues, suspected fraud, or pricing errors).

  • An order is accepted only when we issue a written confirmation or ship the products.

  • We reserve the right to limit quantities.

5) Shipping, Risk of Loss & Delivery
  • Title and risk of loss pass to you upon our delivery of products to the carrier.

  • Delivery dates are estimates only. We are not liable for delays beyond our reasonable control (see Force Majeure).

  • Inspect shipments upon receipt and notify us of shortages or damage within 5 business days.

6) Returns & Exchanges
  • Returns require prior authorization (RMA). Items must be unused, in original packaging, and returned within [30] days of delivery unless otherwise stated.

  • Custom, special-order, or electrical parts that have been installed/energized are typically non-returnable.

  • Approved returns may be subject to a restocking fee. Shipping charges are non-refundable unless the return is due to our error.

7) Limited Warranty
  • Unless a different warranty is provided with the product, ACME warrants that new products will be free from material defects in workmanship and materials for [12 months] from the date of shipment.

  • Our sole obligation and your exclusive remedy is repair, replacement, or refund (at our option) of the defective product returned with an RMA.

  • The warranty does not cover normal wear, improper installation, misuse, unauthorized modifications/repairs, or use contrary to published ratings.

Important: HVAC/R components must be installed by qualified personnel in accordance with applicable codes and OEM instructions. Failure to do so voids the warranty.

8) Technical Guidance
  • Any technical drawings, diagrams, or compatibility notes we provide are informational only and not a substitute for professional judgment. You are responsible for product selection and system integration.

9) Intellectual Property
  • All content on the Site (text, images, logos, specs, PDFs, diagrams, and software) is owned by ACME or our licensors and is protected by IP laws.

  • You may not copy, modify, reverse engineer, or use our content for commercial purposes without prior written consent.

10) Acceptable Use

You agree not to:

  • Violate any law or infringe third-party rights;

  • Upload malicious code, attempt to gain unauthorized access, or interfere with the Site;

  • Use the Services to benchmark or build a competing product;

  • Scrape or harvest data except as allowed by written permission or applicable law.

11) User Content & Feedback
  • If you submit feedback, reviews, or suggestions, you grant ACME a non-exclusive, worldwide, royalty-free license to use and incorporate them without obligation.

12) Third-Party Links & Tools
  • The Site may link to third-party sites or tools we do not control. We are not responsible for their content, policies, or practices.

13) Disclaimers
  • EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14) Limitation of Liability
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.

  • OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE PRODUCTS OR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) AT ISSUE.

15) Indemnification

You agree to indemnify and hold ACME, its affiliates, and employees harmless from any claim or demand (including reasonable attorneys’ fees) arising out of your misuse of the Services, violation of these Terms, or infringement of any rights.

16) Compliance & Export
  • You are responsible for complying with all applicable laws and export controls when purchasing, reselling, installing, or using our products.

17) Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supply chain disruptions, or carrier delays.

18) Changes to the Terms

We may update these Terms from time to time. The updated version will be posted on the Site with an effective date. Continued use of the Services constitutes acceptance of the revised Terms.

19) Governing Law & Dispute Resolution
  • These Terms are governed by the laws of [State/Country, e.g., Florida, USA], without regard to conflict-of-laws rules.
